Universal Survey Center, Inc., d/b/a SurveyHealthcare, OpinionSite ("OpinionSite") have adopted these Terms and Conditions ("Policy") to establish and maintain an adequate level of Personal Data privacy protection. This Policy is provided to inform you of our policies and practices and of the choices you can make about the way your information is collected and how that information is used. By using or accessing the Site and participating in OpinionSite, you agree to the collection and use of your information by us in accordance with this Policy and agree to accept the terms of both this Policy and our Privacy Shield Policy.

Through the Sites we operate -- OpinionSite and OpinionSiteHealth -- we provide surveys that can be taken via electronic notification methods such as, but not limited to, email. We provide sample to organizations that conduct research primarily for marketing or for social science purposes. We're committed to helping you understand how we manage and protect the information we collect. We take privacy seriously, and have taken many steps to help safeguard the information we collect from you.

Please take a moment to review the terms of our Policy. If you do not agree to the terms of this Policy, please do not use the Site or participate in OpinionSite.

Opt-In to OpinionSite:

Members may sign up for OpinionSite by completing the “Double Opt-in” process at our Site or through one of our many partners’ Sites. During the Double Opt-in process, members are sent a confirmation email following an initial request to subscribe at our Site or one of our partners’ Sites, and all members must affirmatively click an additional link in that confirmation email to confirm their opt-in preference.

Member Profile:

To further improve the quality, targeting and relevance of our surveys, you may be asked to provide certain demographic data (such as your age, gender, zip code, income) and profile data (such as your medical practice, your medical specialty or occupation, your professional activities, shopping habits and other areas of interest) as certain surveys may be directed to those participants who meet a particular profile. You will be asked to answer certain questions on forms and pages hosted by us. The information we collect will be used to determine whether you are eligible to participate in the survey and will also be maintained by us to enable us to provide you with more relevant surveys in the future.

Validation:

OpinionSite has the right to require the validation of medical acumen in order to ensure it upholds the validity of the professional community. Any falsification of identity is grounds for removal and potential reporting to authorities.

All information about you must be truthful and you may not use any aliases or other means to mask your true identity. We may suspend or terminate your access at any time with or without notice.

There is no cost for joining and we will not try to sell you anything nor sell your personal information to a third party. Each person is limited to a single registration in the community, as well as a single participation for each unique research opportunity. The sincerity and completeness of the answers provided during registration are checked in all cases. If there is any doubt, any confirmed or suspected fraud (inclusive of duplicate accounts or participation) may be grounds for termination of membership of the participant and it is solely the right of OpinionSite to make this uncontestable decision. It is advisable to read through the FAQs on the site in order to get a clear understanding of all the various ways one can participate and the particulars related to such participation. Should email addresses need to be changed, please refer to the procedures listed in the FAQs.

Each Member is responsible for maintaining up to date information relevant to their personal profile, inclusive of employment status, certifications, specialties, practice locations by contacting support and/or updating contact information within the Member’s customized portal.

Active Status:

Members must remain active participants in the OpinionSite Community to be eligible to earn and maintain rewards points balances. Members who become “inactive participants” as defined herein shall forfeit any unredeemed rewards points balances in accordance with this Policy.

You may be deemed an “inactive participant” if you fail to respond to a survey invitation for 12 consecutive months. If you have become an “inactive participant”, you will be informed of such status by email and given the opportunity to either continue or discontinue registration in the OpinionSite Community. If you respond to such email and choose to continue your registration, you will be returned to active status and eligible to participate in future surveys and resume earning rewards points. Should you fail to respond to this inactive participant alert and your points are reclaimed, those points may not be reinstated. If you do not respond to the registration email, we will discontinue your registration. In order to re-activate your account, you must reach out to us at pstuart@opinionsite.com prior to becoming eligible to participate in future studies.

A Member account may also be de-activated related to fraudulent behavior or data quality issues related to responses. While in both cases warning emails are typically sent and/or validation requests made, OpinionSite reserves the right to de-activate accounts where respondents are seemingly acting counter to the market research quality standards and objectives to which it abides without any express notification. Members who personally opt to discontinue their registration for any reason shall forfeit any unredeemed rewards points.

Specifically upon registration and maintaining your active status you agree to the following:
• Not to have more than one (1) user account on this Website, even if you have more than one (1) e-mail address.
• Not to encourage or allow other unregistered individuals to participate in a Survey or Surveys using your access. Doing so will be considered falsification and OpinionSite shall have the right to terminate your membership and may refuse any and all current or future access to, or use of this Website, including the immediate forfeiture of any accumulated rewards or prizes, if any.
• Not to use machines, algorithms or other automatic functions to generate contents or accesses to web pages.
• Not to generate accesses to web pages in which a person or a group of people are requested to read material (chain letters, e-mails, etc.) that has the primary purpose of generating profit.
• Not to use and access this Website for commercial purposes.
• Not to take any action to manipulate the results of any panel, poll, or survey on or in connection with this Website.
• Not to take any action to interfere with this Website or any other Members use of, and/or access to, this Website.
• Not to frame portions of this Website in another website; not to alter the appearance of this Website; and not to establish links from any other website to any webpage on this Website, without the prior express written consent of OpinionSite.

Communications from the Site:

Frequency of Communications: Your membership account defaults to unlimited email communications from OpinionSite.com. If at any point in time you would like to customize the number of messages you receive, please update your preferences in the “profile update” section of the portal or reach out to pstuart@opinionsite.com for assistance.

Survey Electronic Notification: We will send you targeted and relevant surveys by electronic notification (such as, but not limited to, email, SMS, social media, smart phones) as is necessary.

Service Notification: We will send you service-related announcements, which are not promotional in nature, on occasions when it is necessary to do so. For example, if our service is temporarily suspended for maintenance, we may send you electronic notification.

Customer Service: Based upon the information you provide us, we will communicate with you in response to your inquiries, to provide the services you request, to fulfill incentive requests, and to manage your account. We typically communicate with you by electronic communication.

Reward Programs: Please note that reward programs are subject to change over time. All reward programs will included the relevant rules and regulations when disclosed to our community.

Communications with OpinionSite:

Any communication or material you transmit to OpinionSite by electronic mail or otherwise, including any data, questions, comments, survey responses, suggestions, or the like is, and will be treated as, non-confidential and nonproprietary. Except to the extent expressly covered by our Privacy Policy, anything you transmit or post may be used by us for any purpose, including but not limited to, reproduction, disclosure, transmission, publication, broadcast and posting. Furthermore, OpinionSite is free to use any ideas, concepts, know-how, or techniques contained in any communication you send to the Site without compensation and for any purpose whatsoever, including but not limited to, developing, manufacturing and marketing products and services using such information.

Rewards:

The primary reason for being a Member of the community is to share one’s opinions in the various research opportunities that we will invite you to from time to time. Participation is voluntary and information associated with the rewards and availability for that particular study will be included in the invitation you will receive.

By completing surveys, Members will earn and accumulate rewards points, which are redeemable through their customized OpinionSite portal. Each survey will have a specific incentive/honorarium amount associated with it specifying the number of rewards points payable upon qualifying and completing the survey opportunity. Your honorarium payment should immediately appear in your account upon the successful completion of most surveys. Rewards points earned have no monetary value outside of the OpinionSite system, except where required by law. You can request rewards redemptions via your member portal.

Members are credited rewards upon qualification and completion of the provided survey opportunity. Members may redeem their points once they reach the stated threshold, details of which can be found on the FAQ page or within the Rewards page. In agreeing to these terms and conditions, participants are expressly indicating an understanding that pay out of rewards less than the stated threshold is wholly at OpinionSite’s discretion.

Rewards are able to be banked within the portal and remain available for redemption for as long as the member account remains in active status. OpinionSite has the right to modify the reward options available, redemption thresholds, processing fees or anything else related to rewards processing without any specific advanced notification. The Rewards page offering will remain updated to provide information related to this and any inquiries should be directed to pstuart@opinionsite.com.

Refunds/ Exchanges of rewards are prohibited. Once a Member confirms the redemption of points for a particular reward type, we are unable to exchange it for any other reward type.

OpinionSite Health Rewards Data and Healthcare Professional Payment Disclosure requirements

Members of the OpinionSite Healthcare Professional Community acknowledge and agree that OpinionSite may be required by applicable law and regulation to disclose the existence of rewards redeemed, the terms of this redemption including financial terms, and the subject matter associated with each payment (e.g., the U.S. Sunshine Act, and state and foreign equivalents).

The OpinionSite reward program is administered in accordance with federal, state and foreign laws, including Section 6002 of the Patient Protection and Affordable Care Act (also known as the “Physician Payments Sunshine Act”) and Loi Bertrand and the Loi Anti-Cadeaux in France. Under these regulations, certain payments may be subject to reporting to the respective bodies, who will make the details available for public viewing on its website. Sweepstakes and Promotions:

From time to time OpinionSite may offer or conduct online survey opportunities, sweepstakes, prize programs or other promotions or programs ("Services") in connection with this Site. All such Services shall be subject to any additional terms, conditions, rules, guidelines or agreements that are provided to you at the time of accessing such Services. We reserve the right to change point awards or other incentives offered in connection with these Services. Participation in special promotions is completely voluntary and participation in the activity is a demonstration of acceptance of the terms and conditions associated with the promotion. Should you be chosen as a winner of an activity and do not want to accept the prize, simply respond to the winner notification email with “I do not accept this prize.”

OpinionSite Health Refer a Friend Program:

The OpinionSite Health "Sign up a Friend" Program allows you the opportunity to earn additional Points by inviting your friends in the medical community to join OpinionSite. The email addresses you submit to the program are sent a one-time email invitation to register on the Site. The email addresses are stored solely for the purpose of tracking any subsequent registrations on the Site so we may award you additional Points you earn as a result of these referrals. The email addresses are not disclosed to any third parties and will not be sent any other emails from OpinionSite unless they opt in to receive such mailings at the time of registration. Your friends may contact us at privacy@opinionsite.com to request that we remove their information from our database.

OpinionSite Health Adverse Event Reporting Requirements:

Members of the OpinionSite Healthcare Professional Community acknowledge and agree that OpinionSite may be required by applicable laws and regulations to follow-up with an individual Member if such Member mentions an Adverse Event in the course of his/her participation in a specific survey engagement. OpinionSite is committed to supporting our clients and the pharmaceutical manufacturers who sponsor such research engagements in responding to requests for follow-up on Adverse Events within the timeframe required by the federal, state and foreign laws and regulations which govern such matters. By participating in the Healthcare Professional Community, Members are agreeing to be contacted via phone and/or email outreach by members of the OpinionSite team in order to follow-up for additional details in regards to the Adverse Events referred to by a Member within a survey engagement. Members do have the right to refuse to provide additional details in regards to the Adverse Event including any Personal Data associated with such Member; however, a refusal does not override the requirement for OpinionSite to report on the Adverse Event mention to its clients and the pharmaceutical manufacturers who have sponsored the research engagement. In case of a refusal, no Member Personal Data will be released as part of the reporting process.

Opt Out:

Members can unsubscribe from OpinionSite at any time, no questions asked. We know that just because you joined OpinionSite at one time does not mean that you necessarily want to be a Member forever. Every survey invitation we send is coded with a special footer that allows you to remove your name from OpinionSite and its services by clicking a link provided in the message. In addition, you can discontinue your OpinionSite membership by emailing us at help@opinionsite.com or pstuart@opinionsite.com or privacy@opinionsite.com.

Upon unsubscribing from OpinionSite, we will deactivate your membership account and you will not receive any further survey invitations; however, you may continue to receive some previously prepared survey invitations for a few days following the termination of your membership. We will retain your personal information for an indefinite period of time; however, we will continue to protect such personal information in accordance with this Privacy Policy. OpinionSite will endeavor to respond within a reasonable time period to all reasonable requests to inactivate your membership. Please note we will not be able to delete data that has been archived, but we can delete current live information in our database.

Aggregate Information:

From time to time, we may collect general, non-personal, statistical information about the use of the Site and the Service, such as how many visitors visit a specific page on the Site, how long they stay on that page, and which hyperlinks, if any, they "click" on. We collect this information from you by “passive” means through the use of technologies such as IP addresses and “cookies”, which are discussed in greater detail below. We may also group this information into aggregate visitor data in order to describe the use of the Site and OpinionSite to our existing or potential business partners or other third parties, or in response to a government request. However, please be assured that this aggregate data will in no way personally identify you, other list members or any other visitors to the Site.

IP Addresses:

We collect IP addresses and/or click-stream data for purposes of system administration and to report aggregate information to our advertisers and sponsors.

An IP address is a number that's automatically assigned to your computer whenever you're surfing the web. Web servers, the computers that "serve" web pages, automatically identify your computer by its IP address. We collect IP addresses for purposes of system administration, to report aggregate information to third parties and to track the use of the Site. When visitors request pages from the Site or click on a link in a mailing sent through OpinionSite, our server’s log the visitors' IP addresses. We reserve the right to use IP addresses to identify a visitor or member when it will enhance the users experience or if we feel it is necessary to enforce compliance with the Site’s policies or to protect the Company, the Site, the Site’s visitors, OpinionSite, our Internet Service Provider partners and/or the members or others.

Click-stream data is information collected by our computers when you request pages from our Site. Click-stream data may include such information as the page served, the time, the source of the request, the type of browser making the request, the preceding page view and other such non-personal information. When analyzed, these data helps us learn how visitors arrive at the Site, what type of content is most popular, what type of visitors in the aggregate are interested in particular kinds of content and advertising, and the like.

Cookies:

Cookies are pieces of information that a website transfers to an individual's hard drive for record-keeping purposes. We use cookies for a number of purposes:

On Our Sites: Most commonly, we use cookies to make web surfing easier for you by saving your preferences while you’re using our Site. The use of cookies is an industry standard—you'll find them at most websites. We use cookies on the Site to verify a member's login status. By showing how and when visitors use the Site, cookies help us see which areas are popular and which are not. Information such as the total number of visitors to the Site and pages viewed is most easily tracked with cookies. For Banner Ads: When you visit our Site or take one of our surveys without registering for OpinionSite, we may place cookies on your computer that alerts Internet advertising networks that you have visited one of our Sites or surveys. These cookies, which do not track any personally identifiable information, allow us to ask Internet advertising networks to serve you advertisements with respect to survey opportunities, OpinionSite and our Sites.

For Brand Awareness Studies: We may place cookies from a third-party technology provider on your computer that signals when you visit a website that utilizes a supported Internet advertising network. We provide only limited non-personally identifiable information to the third party technology provider, including certain demographic information and a coded user identification number. The signal emitted from the cookie includes solely the coded user identification number and the specific advertisement(s) that you may have viewed. Certain of our clients may ask us send you survey opportunities to determine the effectiveness of their Internet advertising based on the signals sent by the cookie about the advertising you may have viewed.

The cookie that we use to recognize you as an OpinionSite Member when you return to this Site or visit other OpinionSite panel Sites employs a technology called "Flash." The information gathered via this cookie may be associated with other OpinionSite cookies that you have on your computer and used to supplement the information that we have about you. This cookie does not contain any personally identifiable information. We may also use "non-Flash" cookies or a small piece of code (sometimes referred to as "1x1 clear pixel," "Web beacon" or "clear GIF") to help us gather additional information about your Internet usage, including other websites that you visit. Our servers log the standard non-personally identifiable information that accompanies Internet transmissions, like the date and time of your visit, browser type and version, IP address, and operating system. We use this information to administer the website, analyze trends, track users' movements within our Site, and gather broad demographic information for aggregate use. We may associate the personally identifiable information you give us with this information and may supplement it further with information supplied by our cookies or other sources. This helps us to understand you better and how you interact with the Site.

By your use of the Site and OpinionSite, you authorize cookies to be put in place and their use by us and our clients and business partners consistent with the disclosures above. The cookies will expire after one year.

Also, you have the option of disabling the installation of new cookies and deleting existing cookies using your browser preferences. Most browsers are initially set up to accept cookies. You can reset your browser to refuse all cookies or indicate when a cookie is being sent and to accept/reject such cookie(s) individually. However, please be aware that some features of the Site will not function properly or may be slower if you refuse cookies.

Clear Gifs (Web Beacons/Web Bugs):
Clear gifs are tiny graphics with a unique identifier, similar in function to cookies, and are used to track the online movements of Web users. In contrast to cookies, which are stored on a user's computer hard drive, clear gifs are embedded invisibly in HTML files and are about the size of the period at the end of this sentence.
When you visit a third-party website with which we have a marketing relationship, or when you visit a website displaying content (including advertisements) of a third party with which we have a marketing relationship, we may assign a randomly generated number and store that information as a browser cookie. The random number stored contains no personal information about you or your computer. We may cause our software to query that cookie and to log the random number along with the time and along with other data supplied to us.
We may use clear gifs in our HTML-based emails to let us know which emails have been opened by recipients. This allows us to gauge the effectiveness of certain communications. We may also use them to confirm payment to our third party-partners. If you no longer wish to receive our communications sent by email, you may opt-out of receiving them by following the instructions included in each communication.

Digital Fingerprinting:

We may use digital fingerprinting technologies to assign a unique identifier or “Machine-ID” to a user’s computer to identify and track the computer. OpinionSite works principally with a third-party provider to deploy this technology (the “Technology”) and does not use it to collect personally identifiable information, or track the online activities, of the user of a computer; and will not disrupt or interfere with the use or control of a computer or alter, modify or change the settings or functionality of a computer. We use the unique identifier to assist our clients in ensuring the integrity of survey results. The third-party provider analyzes publicly available information and data obtained from the computer’s web browser and from other publicly available data points, including without limitation the technical settings of the computer, the characteristics of the computer, and the computer’s IP Address, to create a unique identifier assigned to the computer. The unique identifier is an alpha-numeric ID. After creating the unique identifier, we do not retain the information analyzed by the Technology to create the unique identifier.

Additionally, to assist our clients in protecting and ensuring the integrity of survey results, we (a) may link or associate your unique identifier to you and any of your personally identifiable information; (b) may share your unique identifier with our clients and with other sample or panel providers; and (c) may receive or obtain a unique identifier linked to you from a third party, including without limitation a sample or panel provider or a client of OpinionSite. Any unique identifier(s) received or obtained by OpinionSite and linked to a specific individual will be protected in accordance with this Policy.

Security and Information Protection:

The security of your information is important to us. We follow generally accepted industry standards to protect the information submitted to us, both during transmission and once we receive it; however, no method of transmission over the Internet or electronic storage is 100% secure. Therefore, while we strive to use commercially acceptable means to protect your personal information, we cannot guarantee its absolute security.

Firewalls:
Protecting the security of your personal information is very important to us. When we store information that you have provided to us when registering for OpinionSite, that information is protected by security measures that include "firewalls" (a combination of computer hardware and software that helps keep unauthorized visitors from accessing information within our computer network), "intrusion detection systems" (a combination of computer hardware and software that helps detect any unauthorized visitors) and other tools such as data encryption and physical security, where appropriate. Unfortunately, no data transmission over the Internet or data repository can be guaranteed to be 100% secure. As a result, while the Company strives to protect your personal information and privacy, we cannot guarantee or warrant the security of any information you disclose or transmit to us online and cannot be responsible for the theft, destruction, or inadvertent disclosure of your personal information.

Links to other sites:
Please be aware that when you are on the Site, or when you receive an email message from us through OpinionSite, you could be directed to other sites that are beyond our control. There may be links to other sites from the Site’s pages or from the email message we send to you that take you outside our Site. These other sites may send their own cookies to visitors, collect data, or solicit personal information. The privacy policies of these other sites may be significantly different from the OpinionSite Policies. We are not responsible for the privacy practices of these other sites and cannot guarantee the security of any of your personal information collected there. Note that when you link to a third party site from the Site, you may see pre-populated data fields with your personal information; however, that information is not available to the third party unless you take certain actions on the third party's site, such as submitting a form.

Single Sign-On:
We use single sign-on service(s) that allow you to sign into OpinionSite using your third-party social networking login credentials such as your Facebook or Twitter accounts. These services allow you to link your existing social network profile to your OpinionSite account. Once linked, you will be able to post content on the third-party site from OpinionSite and interact with your friends. If you choose to use such a sign-on service, OpinionSite may also access certain profile information from your third-party social network profile such as friends, profile picture, etc.

Policy for Children:

We do not knowingly collect information from children under the age of 13 on the Site or through the Service without permission from a parent or legal guardian. If you are under the age of 13, please do not provide any information to us. If we become aware that we have collected information from a child under the age of 13 without the permission of a parent or legal guardian, we will make commercially reasonable efforts to delete such information from our database.

Change of Control/Asset Transfer:

As OpinionSite develops, we may buy other businesses or their assets or sell all or parts of our business assets. Customer information is generally one of the business assets involved in such transactions. Thus, in the event that the assets of OpinionSite in whole or in parts are acquired by a third party, customer information, including any visitor information collected through the Site or OpinionSite would be one of the transferred assets. In the event of a corporate change in control or sale of all or parts of our business assets our Members will be notified and given the opportunity to opt-out of any such transfer of their Personal Data to the new corporate entity or asset purchaser.

Legal and Site Compliance:

OpinionSite reserves the right to disclose Member information in special cases when we have reason to believe that disclosing this information is necessary to identify, contact or bring legal action against someone who may be causing injury to or interference with (either intentionally or unintentionally) OpinionSite’s rights or property, other visitors, list members, or anyone else that could be harmed by such activities. OpinionSite also reserves the right to disclose visitor or list Member information when we believe in good faith that the law requires it. We may also use Member’s Personal Data to monitor compliance with the Site’s Terms and Conditions.

Unauthorized Use:

Members agree not to use the Site for illegal purposes (including, without limitation, unlawful, harassing, libelous, and invasive of another's privacy, abusive, threatening or obscene purposes). Members agree that they will comply with all laws related to their use of the Site. Members may not use spiders, robots, data mining techniques or other automated devices or programs to catalog, download, store or otherwise reproduce or distribute content available on the Site. Members may not take any action to interfere with the Site or any other Member's use of the Site, including, without limitation, via means of overloading, "flooding," "mailbombing" or "crashing" the Site. Members may not send unsolicited email, including promotions and/or advertising of products or services, through the Site or forge or mask your true identity in any email or posting. Member’s may not frame portions of the Site within another website, alter the appearance of the Site or establish links from any other website to any page of the Site other than the home page. Members may not resell use of, or access to, the Site to any third party. Members are prohibited from posting or transmitting any threatening, libelous, defamatory, obscene, scandalous, or inflammatory material or any material that could otherwise violate any law. OpinionSite will fully cooperate with any law enforcement authorities or court order requesting or directing us to disclose the identity of anyone posting any such information or materials.

Intellectual Property:

The materials on OpinionSite’s Sites, except user provided content, including, without limitation, text, software, scripts, graphics, photos, sounds, music, videos, interactive features and the like ("Materials") and trademarks, service marks and logos contained therein ("marks") are owned by or licensed to OpinionSite subject to copyright and other intellectual property rights in the United States.

OpinionSite is the exclusive owner of, or is authorized to use or provide access to, all parts of the Site, including all copy, graphics, designs, trademarks, service marks, copyrights, patents, and other intellectual property or proprietary rights contained therein. Except as expressly permitted in these Terms and Conditions, you may not modify, copy, reproduce, create derivative works, republish, display, upload, post, transmit, or distribute in any way content available on this Site without the prior written consent of OpinionSite. No license is granted to you and no rights are conveyed by virtue of accessing or using the Site. All rights not granted under these Terms and Conditions are reserved by OpinionSite.
